3. Booking and Project Agreements

3.1 Project Enquiries

Submitting an enquiry through our website does not constitute a binding agreement. We will review your request and provide a detailed quote and project proposal.

3.2 Acceptance of Projects

Projects are confirmed only upon mutual agreement of scope, timeline, deliverables, and payment terms, typically documented in a separate project agreement or contract.

3.3 Project Scope Changes

Any changes to the agreed project scope may result in additional fees and timeline adjustments. Such changes must be approved in writing by both parties.

4. Payment Terms

4.1 Pricing

All prices are quoted in GBP (£) and are subject to VAT where applicable. Pricing is based on the agreed project scope and may vary depending on requirements.

4.2 Deposits and Payments

• A non-refundable deposit (typically 50%) is required to secure booking and initiate work
• Final payment is due upon project completion or as specified in the project agreement
• Late payments may incur interest charges and suspension of deliverables
• We accept bank transfers, credit cards, and other agreed payment methods

4.3 Cancellations and Refunds

• Client Cancellations: Deposits are non-refundable. Cancellations with less than 14 days notice may incur additional fees
• Company Cancellations: In rare cases where we must cancel, full refunds will be provided
• Work completed prior to cancellation will be charged proportionally

5. Intellectual Property Rights

5.1 Ownership of Work

Upon full payment, clients receive usage rights to the final deliverables as specified in the project agreement. We retain copyright and may use the work for our portfolio, marketing, and promotional purposes unless otherwise agreed.

5.2 Client Materials

Clients grant us a license to use any materials, logos, or content provided for the purpose of completing the project. Clients represent that they have the right to use such materials and will indemnify us against any claims.

5.3 Portfolio Rights

We reserve the right to display completed projects in our portfolio, website, social media, and promotional materials. If confidentiality is required, this must be specified in writing before project commencement.

6. Client Responsibilities

Clients are responsible for:

• Providing accurate information, materials, and access required for the project
• Timely feedback and approvals to avoid project delays
• Ensuring all necessary permits, permissions, and releases are obtained
• Respecting agreed timelines and payment schedules
• Communicating any concerns or changes promptly

7. Delivery and Timeline

We strive to meet agreed timelines, but delivery dates are estimates and not guarantees. Delays caused by client feedback, changes, or force majeure events are not our responsibility. Rush projects may incur additional fees.

8. Revisions and Amendments

Most projects include a specified number of revision rounds (typically 2-3). Additional revisions beyond the agreed scope will be charged at our standard hourly rate. Revisions must be requested within 30 days of delivery.

9. Limitation of Liability

To the fullest extent permitted by law, TheCinemanProductionsLtd shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Damages exceeding the total amount paid for the specific project
• Issues arising from client-provided materials or third-party services
• Force majeure events beyond our reasonable control

10. Confidentiality

We respect the confidentiality of client information and will not disclose sensitive project details to third parties without consent, except as required by law or for essential service providers (e.g., subcontractors bound by confidentiality agreements).

11. Termination

Either party may terminate the agreement with written notice. Upon termination:

• Client is responsible for payment for all work completed to date
• We will provide work-in-progress files at our discretion
• All materials and intellectual property revert to respective owners
• Deposits and payments made are non-refundable

12. Warranties and Disclaimers

12.1 Our Warranties

We warrant that:

• Services will be performed with reasonable skill and care
• We have the right to provide the services offered
• Work will be original and not infringe third-party rights

12.2 Disclaimers

Services are provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement beyond those explicitly stated. We do not guarantee specific results or outcomes.

13. Indemnification

Clients agree to indemnify and hold harmless TheCinemanProductionsLtd from any claims, damages, or expenses arising from client-provided materials, breach of these Terms, or use of our deliverables in ways not authorized by us.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes will be resolved through good-faith negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, strikes, or technical failures.
